Master Subscription Agreement (MSA)

This Master Subscription Agreement governs the overall commercial relationship between Sinai Berakah (Pty) Ltd and the subscribing Client. By activating a subscription, the Client agrees to be bound by these terms in addition to the tier-specific Subscription Schedule.

§1.1 Grant of Licence

Sinai Berakah grants the Client a non-exclusive, non-transferable, revocable licence to access and use the Volentegy™ Platform during the Subscription Term, solely for the Client's internal mining operations management.

§1.3 Payment Terms

Invoices are issued on the first business day of each subscription month. Payment is due within 15 days. Annual prepayment attracts a 15% discount. Accounts overdue by 30 days may have Platform access suspended without prejudice to the outstanding balance.

Data Processing Agreement (§2)

§2.1 Operator Status

Sinai Berakah acts as Operator of personal information processed on behalf of the Client as Responsible Party, as defined in POPIA. All processing is performed solely to deliver the subscribed Platform services.

§2.2 AI Training Prohibition

Binding prohibition: Operational Data shall never be used to train, fine-tune, evaluate, or benchmark any artificial intelligence or machine learning model, including Volty™, Anthropic Claude, or any successor system. This prohibition survives termination of the subscription.

§2.3 Breach Notification

Sinai Berakah will notify the Client within 72 hours of becoming aware of a security incident that affects Operational Data, together with a preliminary assessment of scope and remediation steps taken.

Service Level Agreement (§3)

§3.1 Uptime Target

Sinai Berakah targets 99.5% monthly uptime for the Platform, excluding scheduled maintenance windows notified at least 48 hours in advance.

§3.3 Remedies

For each full calendar month in which uptime falls below the target, the Client is entitled to a service credit equal to 5% of that month's subscription fee, up to a maximum of 25% of the monthly fee. Service credits are the Client's sole remedy for uptime failures.

Acceptable Use Policy (§4)

The Platform may only be used for lawful purposes in connection with the Client's mining operations. The following uses are prohibited:

  • Uploading data that violates applicable law or third-party rights.
  • Attempting to gain unauthorised access to other tenants' data.
  • Using automated tools to scrape, extract, or systematically access Platform data beyond normal workflow use.
  • Introducing malicious code, viruses, or disruptive content into the Platform.
  • Misrepresenting Volty™ outputs as independent professional advice in regulatory submissions without appropriate disclosure.

Digital Custodian Agreement (§5)

§5.1 Custodian Role

Sinai Berakah acts as a neutral digital custodian of the Client's Operational Data. This means Sinai Berakah holds and processes data in a fiduciary capacity — in the Client's interest, not Sinai Berakah's own commercial interest.

§5.2 Non-Interference

Sinai Berakah shall not use Operational Data to:

  • Inform investment, trading, or commercial decisions by Sinai Berakah or its associates.
  • Provide intelligence or competitive analysis to any third party regarding the Client's operations.
  • Take any action with respect to the data beyond the documented Platform services.

§5.3 Survival

The custodian obligations in §5 survive termination of the subscription and continue for a period of five years thereafter.

Amendments & Governing Law

Sinai Berakah may amend this Legal Suite by providing 30 days written notice to the Client's registered email address. Continued use of the Platform after the amendment date constitutes acceptance.

This Legal Suite is governed by the laws of the Republic of South Africa. The parties consent to the jurisdiction of the High Court of South Africa, Gauteng Division, Pretoria.
